Article 1 – Definitions
1.1. FarmBridgeNetwork: Registered sole proprietorship operating under Dutch law, facilitating agreements between Dutch seed suppliers and Polish growers as a commercial intermediary.
1.2. Client: The individual or company entering into an agreement via FarmBridgeNetwork’s mediation.
1.3. Agreement: A contract between a seed supplier and a grower mediated by FarmBridgeNetwork.

Article 2 – Scope of Application
2.1. These General Terms and Conditions apply to all services provided by FarmBridgeNetwork and form an integral part of every agreement mediated by FarmBridgeNetwork.
2.2. Deviations from these terms must be explicitly agreed upon in writing.

Article 3 – Role of FarmBridgeNetwork
3.1. FarmBridgeNetwork acts solely as an intermediary facilitating communication, negotiation, and conclusion of contracts between Clients.
3.2. FarmBridgeNetwork is not a contractual party in agreements between Clients and holds no liability for the contractual performance of either party.

Article 4 – Commission and Fees
4.1. FarmBridgeNetwork’s services are commission-based, calculated as a percentage of the total contract value agreed between Clients.
4.2. Specific commission rates will be agreed upon prior to the finalization of the mediated agreement and confirmed in writing.
4.3. FarmBridgeNetwork will invoice commissions promptly after contract execution unless agreed otherwise.

Article 5 – Obligations of Clients
5.1. Clients must provide accurate and complete information to FarmBridgeNetwork.
5.2. Clients are solely responsible for fulfilling contractual obligations towards each other.
5.3. Clients must promptly inform FarmBridgeNetwork about any disputes, changes, or deviations concerning the mediated agreements.

Article 6 – Liability
6.1. FarmBridgeNetwork is not liable for any damages or losses arising directly or indirectly from agreements between Clients.
6.2. FarmBridgeNetwork is not liable for delays or damages caused by inaccurate information provided by Clients.
6.3. FarmBridgeNetwork’s total liability, should it occur, is limited to the commission amount related to the specific agreement in dispute.

Article 7 – Confidentiality
7.1. FarmBridgeNetwork commits to maintaining confidentiality regarding all information obtained from Clients unless disclosure is required by law or judicial authority.
7.2. Clients must maintain confidentiality regarding sensitive or proprietary information obtained through the mediation process.

Article 8 – Force Majeure
8.1. FarmBridgeNetwork is not responsible for delays or non-performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, governmental actions, strikes, or pandemics.

Article 9 – Governing Law and Jurisdiction
9.1. These General Terms and Conditions and all mediated agreements shall be governed exclusively by Dutch law.
9.2. All disputes arising from or related to these terms and mediated agreements will be submitted exclusively to the competent court in the Netherlands.

Article 10 – Final Provisions
10.1. If any provision of these Terms and Conditions is found invalid, the remaining provisions shall remain fully enforceable.
10.2. FarmBridgeNetwork reserves the right to amend these General Terms and Conditions. Amendments become effective immediately upon publication or notification to the Client.
